Shareholder communication MultiChoice SA is committed to ongoing and transparent communication with its direct shareholders, being MultiChoice Group and Phuthuma Nathi, as well as Phuthuma Nathi’s shareholders. In all such communications, the board aims to present a balanced and understandable assessment of MultiChoice SA’s position. This is done through adhering to principles of openness, and substance-over-form reporting, striving to address matters of material signi cance to shareholders. MultiChoice SA is committed to ongoing and transparent communication with its shareholders and, in turn, Phuthuma Nathi’s shareholders. This integrated annual report is our primary form of communication with shareholders. In addition to this report, we publish annual and interim results and, should we need to engage directly with Phuthuma Nathi’s shareholders regarding material issues/ changes, we conduct roadshows. Further, the board encourages shareholders’ attendance at AGMs, and where appropriate, will provide full and understandable explanations of the effects of resolutions to be proposed. See pages 132 to 139 for more information on the AGM. Company secretary The company secretary guides the board in discharging its regulatory responsibilities. Directors have unlimited access to the advice and services of the company secretary who plays a pivotal role in the company’s corporate governance policies and processes. The company secretary ensures that the proceedings and affairs of the board, the company and (where appropriate) shareholders are properly administered in accordance with the pertinent laws. The company secretary monitors directors’ dealings in securities and ensures adherence to closed periods. She attends all board and committee meetings. In accordance with King IV, the performance and independence of the company secretary are annually evaluated. The MultiChoice Group nomination committee is responsible for recommending a suitable candidate for appointment as the company secretary. It reviews the competence, quali cations and experience of the company secretary annually, and reports on whether it is satis ed therewith. Carmen Miller was appointed as group company secretary with effect from 11 June 2020. The board is satis ed with Carmen’s competence, quali cations, experience, independence and suitability. Further, Carmen was not a director of the company and, after due consideration, the board is satis ed that she had an arm’s length relationship with the board during the year.
